Manager Contract Management

This position is responsible for the following:
•Represent, Drive, Preparation, review, drafting, assist in interpretations, negotiate, define performance measures, commercial analysis, legal vetting, obtaining internal approvals, closure of the contract, signing and storage of the contract.
•Managing contracts with clients, subcontractors and each stake holder etc. by ensuring contract compliance by each stakeholder clause by clause.
•Ensure release of guidelines and methods concerning the contract clauses to monitor the progress and compliance for each stakeholder
•Assist the sales team and presales team to monitor the contract implementation in compliance with terms and conditions and clause by clause compliance is maintained.
•Identify the risks and opportunities of claims and dispute for both parties. Handle arbitrations/claims. Ensure follow up and data upkeep to make or refute claims.
•Ensure the sales, project managers, commercial (Finance and Tax) and legal representatives are available in contract negotiations so that the clauses are defined in attainable measurable parameters. Leave no room for litigations.
•Motivate each stakeholder to comply with the contract clauses.
•Manage and protect contractual rights and associated legal implications.
•Ensure that the contracts are constantly monitored and suitably amended pre and post implementation and during implementation to safeguard companies interest. Manage the contract thru its entire life cycle.
•Conduct periodic structured reviews, to foresee requirement of the amendment in the contract, forewarning stakeholders any possible violation of clause.
•Consistently monitor the defined measurable KPIs to ensure satisfaction of the customer and also to bring out the sufficiency/deficiency of the contract.
•Maintain a superior client relationship for avoiding claims and counterclaims by escalating the issues right in time before the parties set in the dispute mode.
•Enhance the organizational capability to handle similar contracts in a more professional and smoother fashion.
•Managing the term sheet for each new addition of term, validity and applicability of term sheet in line with the licensing requirement.
•Summarization of deviations and modifications for review meetings and mapping with clauses and approvals from competent authorities in organization.
•Presentation of Tracker sheet of contract deliverables and weekly reports, manage records and retrieval system for records.
•Ensure compliance to the local laws, statutes/rules and regulations
•Assist each stakeholder – customer, company, circles to achieve compliance. Conduct random audit of the activity tracke for few circles once a month and flash the achievements as well as deficiencies. Suggest corrective actions.
•Stay Abreast with the latest happening in the field of law, telecom and recommend suitable actions

Principal Accountabilities:
•Provide Monthly/Quarterly/Yearly Contract Compliance Report
•Facilitate non compliance Escalations.
•Meet Target contract compliance.
•Manage Documentation on all MSA, Term Sheets, Deviation etc.
•Make and share the contract deliverables and process for the achievement of the compliance

Qualification & Experience:
•Essential: B.Tech/B. Engg.
•Desired: Legal Training on contract management or Telecom Regulatory environment will be an added advantage.

•Min Exp 10-12 years with Large Telcos, at least 5 years of Program Management and Contract Management, contract negotiations, claim management experience.
•Experience in Big Infrastructure projects like full telecom rollout of a region or an operators PAN India Network will be preferred
•High level of commercial, legal and regulatory awareness
Proven ability to create, review and analyze contracting models and underlying terms and conditions
•Ability to compile, track and analyze legal-commercial information, claims, notices, disputes, financial performance of varied contracts.
•Compilation of relevant information from varied systems and tools; and creation of reports, to monitor performance and governance of contracts, for financial and non financial parameters, across the lifecycle of a contract.
•Recording and monitoring of all claims, disputes, notices etc with respect to a contract.
•Excellent ability in Drafting, Review and Analysis of contracting Models
•Excellent ability to communicate, interpret the terms used in telecom domain.
•Knowledge of Telecom norms
•Exposure to Arbitration during implementation of contracts
•Exposure with Telecom Operator or Vendor in Contracting or bidding department wil be preferred
•Shall have experience in handling Carrier/Enterprise Customers
•Must have good working knowledge on MS-Office, Reports and Presentation
